Billionaire Charlie Ergen is consolidating his telecom empire, merging his satellite and broadband services companies Dish Network and EchoStar in an all-stock deal. "This is a strategically and financially compelling combination that is all about growth and building a long-term sustainable business," Ergen, chairman of both Dish and EchoStar, said in a statement. The deal reunites two businesses that have been separate for about 15 years, as Ergen spun EchoStar out of Dish in 2008. The merger will exchange 2.85 shares of Dish common stock for each share of EchoStar stock, a 12.9% premium for EchoStar shareholders as of the July 5 trading close. EchoStar CEO Hamid Akhavan will continue on as part of the combined company, as President and CEO.

Dish Network , one of the largest television providers in the United States, confirmed on Tuesday that a previously disclosed "network outage" was the result of a cybersecurity breach that affected the company's internal communications systems and customer-facing support sites. The acknowledgment is an evolution from last week's earnings call, where it was described as an "internal outage." "This morning, we experienced an internal outage that's continuing to affect our internal servers and IT telephony," Dish CEO W. Erik Carlson said at that time. "We're analyzing the root causes and any consequences of the outage, while we work to restore the affected systems as quickly as possible." Customers have also faced "authentication issues" while trying to access paid TV channel apps such as MTV or Starz using their Dish Network logins, BleepingComputer reported.
Dish Network's websites and customer service lines have been down since Thursday. The company has called the outage an "internal systems issue" as customers reported issues with multiple services. "Our DISH TV, Sling TV, Wireless services, and data networks continue to operate and are up and running. The Verge reported Friday that many employees had not worked in more than a day because the company's internal systems also were out. In this week's earnings call, Dish reported 9.75 million TV subscribers split between its satellite operations and streaming provider Sling TV, according to Deadline.
